Major shareholders of Eurasian Financial Company apply to court to convene an extraordinary general meeting

The claim concerns the convening of a general meeting and corporate governance matters at EFC and does not affect the operations of its subsidiaries

Almaty, 4 September 2026 – Larisa Machkevitch, Anna Machkevitch and Alla Machkevitch, who together hold approximately 33.33% of the voting shares in Eurasian Financial Company JSC (EFC), have applied to the Specialized Interdistrict Economic Court of Almaty seeking an order requiring the company to convene and hold an extraordinary general meeting of shareholders.

On 3 September 2026, the claim was accepted for proceedings by Judge Makhmetov E.Zh., and Civil Case No. 7527-26-00-2/15453 was opened.

The proposed agenda includes:

  • the election of one representative of the Machkevitch family as a member of the EFC Board of Directors;
  • the election of one additional independent director;
  • the determination of the amount and terms of remuneration for the newly elected members of the Board of Directors; and
  • setting the number of members of the EFC Board of Directors at five.

The application to the court was preceded by five written requests from the shareholders to convene an extraordinary general meeting, submitted between May and July 2026. According to the claim, five meetings of the Board of Directors were convened to consider these requests, but they did not take place due to a lack of quorum.

“The claim is limited to the convening and holding of a general meeting. It does not seek the sale of any assets, the reorganisation of Eurasian Bank or the insurance company, or any interference with their ongoing operations,” said Bakhyt Tukulov, Partner at TKS Disputes.
